Overview of Contract
1. These terms and conditions apply to any an all work done by the Editor (Megann Kammerman) on behalf of the Author (you).
2. Following the terms and conditions within this contract, the Editor will provide services as outlined on the respective pages on her website. Specific terms of individual projects will be agreed to by both the Editor and Author in writing before this contract is signed.

Project Terms
3. The editing will be done unsupervised within the timeframe allowed, on a schedule determined by the Editor and using her own personal equipment.
4. The Author must send their manuscript at least 24 hours before the agreed project start date. Once sent, the Author cannot make further changes to the manuscript.

- the services required for the manuscript (opening evaluation, story critique, or developmental editing) and the exact scope of what each service entails including what will be delivered to the Author at the end of the project.
- the medium through which the project will be completed (Word, Pages, etc).
- the length of the project (in word count).
- the project fee, based on the Editor's evaluation of the manuscript and the time required to complete the project.
- the overall timeframe, including the start date and the final due date of the project.
Payment
6. The Author will pay the agreed upon project fee for the Editor’s services. This fee will be calculated by service type, word-count, depth of required editing, and time required.
7. Payments will be in US Dollars, and will be made through PayPal.
8. A 50% deposit is due upon signing this contract. The other half will be due upon return of the manuscript. Work will commence after acceptance of the deposit, on the agreed-to start date.
9. This deposit is non-refundable.
10. The project will be completed within the agreed upon timeframe, and will be delivered to the Author no later than the agreed-to end date. After which the final invoice will be sent, and will be due within 14 days.
11. Once both the Author and Editor have agreed to the fee, it is non-negotiable, unless the project word-count is extended or additional services are added, in which case a revised fee and schedule will be decided upon in writing.

Cancellation Policy
12. Both the Editor and Author have the right to cancel the project for any reason. This must be done in writing, and acknowledged in writing by both parties.
14. In the case of cancellation, the Author agrees to pay for the amount of work already completed by the Editor (if it is larger than the initial deposit).
15. If, for some reason, the Editor cancels a project due to unavoidable circumstances, she will refund any overages of fees paid (this includes the deposit).
- The Editor reserves the right to decline a manuscript based on content. She does not accept an excessive amount of violence, horror, or adult themes.

Copyright and Confidentiality
16. All content delivered to the Editor by the Author is owned by the Author.
17. All files the Editor receives will be kept confidential, and will not be shared with anyone (including posting to external websites or social media) without prior written permission.
18. The copyright of the content created by the Editor as part of their services, such as the Editor’s Report, will remain under the copyright of the Editor. The Author may not share the content of these reports without prior written permission from the Editor, Megann Kammerman.
17. All files the Editor receives will be kept confidential, and will not be shared with anyone (including posting to external websites or social media) without prior written permission.

Liability
19. The Author warrants that the materials delivered in the manuscript are the original work of the Author and that they do not violate any copyright, trademark, or other protection of intellectual property.
20. Therefore, the Editor is not liable for any claims, liabilities, or expenses that arise out of a copyright or trademark misappropriation or infringement on the manuscript contents.
21. The Author acknowledges that the contracting of professional editing and/or writing services does not guarantee book sales or representation by a literary agent.

Legal Jurisdiction
22. This agreement is subject to the laws of the state of Arizona within the United States, and both the Author and the Editor agree to submit to the jurisdiction of the United States Courts.
23. The exclusive venue for any arbitration or court proceeding based on or arising out of this Agreement shall be Payson, Arizona.
